Seller Terms (v1)
The terms that bind you when you list an idea for sale on IdeaKoi. Please read them carefully before publishing a listing.
Welcome to IdeaKoi. These Terms describe what you warrant and agree to as a seller listing an idea for sale on our Platform. By publishing a listing, you agree to these Terms. If you do not agree, please do not publish a listing. Buyers are bound by a separate set of terms — see the escrow terms.
Ownership and rights
By listing an idea on Akoi, you warrant that you own the idea and every asset file you attach to it, or that you hold sufficient rights to sell and transfer them exactly as described in your listing. You are responsible for the accuracy of everything you submit.
Non-infringement
You warrant that your listing, and every file attached to it, does not infringe any third party's intellectual property, confidentiality obligations, or other legal rights. A listing that infringes another party's rights may be removed at any time, and repeated or serious infringement may result in account suspension.
Commission and payout
The platform takes a commission on every completed sale. The commission is deducted automatically at the moment of sale, and you are paid the net amount — the agreed price minus the platform's commission — as your seller payout.
Escrow window
Buyer funds are held in escrow for **3 days** after payment succeeds before they are released to you. During that window the buyer has full access to your files and may raise a dispute if something is wrong. This mirrors the buyer-facing escrow terms exactly, so both sides of a sale operate under the same timeline.
Disputes
If a buyer raises a dispute, you will have the opportunity to respond with your side and any supporting evidence. An admin reviews both sides and decides the outcome: a full refund to the buyer, a full release to you, or a split between the two. The admin's decision is final within the platform.
Chargebacks after release
A buyer always retains the right to dispute a charge directly with their card issuer, even after the escrow window has closed and your funds have already been released. If a chargeback is later upheld against a sale that was already paid out to you, the platform may recover the released amount from you.
Moderation is not an endorsement
Every new or edited listing goes through an admin moderation review before it becomes publicly visible. That review is a completeness and policy check only — it confirms your listing meets the platform's baseline requirements. It is not an endorsement of your idea, a validation of its originality or commercial value, and not a warranty by the platform of any kind.
No off-platform payment
Arranging payment for a listed idea outside the platform, in order to avoid the platform's commission, is prohibited and may result in listing removal or account suspension.
Accuracy of licensing terms
You are responsible for the accuracy of your listing and of its licensing fields — whether the transfer is exclusive or non-exclusive, whether attribution is required, and any additional usage-rights notes you provide. These fields are captured and shown to the buyer at the moment of sale, and you are bound by them exactly as they stood at that moment, even if you later edit the listing.
