Please read these terms carefully before using our platform. They govern your relationship with IdeaKoi and your use of our services.
Welcome to IdeaKoi. These Terms & Conditions govern your use of our website, mobile application, and all related services (collectively, the "Platform"). By accessing or using IdeaKoi, you agree to these Terms. If you do not agree, please do not use our Platform.
These Terms & Conditions are the platform-wide baseline. Two transaction-specific documents supplement them:
- Escrow Terms — binding on buyers at checkout; describes how the 3-day escrow window, disputes, and chargebacks work for a purchase.
- Seller Terms — binding on sellers at listing submission; describes what a seller warrants about ownership, IP, and their listing’s licensing terms.
1. Introduction and Acceptance
These Terms & Conditions govern use of the IdeaKoi Platform by buyers, sellers, and visitors. By using the Platform, you agree to these Terms. If you disagree with any part of these Terms, you must not use the Platform.
2. The Marketplace Role
IdeaKoi is a marketplace that facilitates the listing and sale of digital idea assets between independent sellers and buyers. IdeaKoi is not a party to the underlying idea itself and does not guarantee, warrant, or represent the originality, feasibility, legality, or commercial value of any listed idea beyond the admin moderation review described below. Sellers, not IdeaKoi, are solely responsible for the accuracy and ownership claims of their listings.
3. Account Registration
Users must register an account (buyer, seller, or admin role) with accurate information. Sellers additionally complete Stripe Connect Express onboarding (identity/KYC verification) before they can receive payouts. Users are responsible for safeguarding their account credentials.
4. Seller Obligations and Listing Moderation
Sellers must own or hold sufficient rights to the idea they list and must not submit content that infringes third-party intellectual property. Every new or edited idea listing is reviewed by IdeaKoi's admin moderation queue before it becomes publicly visible, and IdeaKoi may reject, request changes to, or remove any listing that violates these Terms or applicable law. Approval by moderation is not a guarantee or endorsement of the idea's originality, quality, or legal soundness — it is a baseline content-policy check, not a warranty.
5. Prohibited Content and Conduct
Listings or content that are illegal, infringe third-party IP or confidentiality obligations, are fraudulent or misleading, or attempt to circumvent the Platform's payment/commission system (for example, arranging off-Platform payment to avoid commission) are prohibited. Violation may result in listing removal and/or account suspension or termination at IdeaKoi's discretion.
6. Buyer Obligations
Buyers agree to pay the listed price through the Platform's Stripe-powered checkout to receive access to a purchased idea's asset files. Buyers may not redistribute, resell, or publicly republish a purchased idea's underlying files beyond the usage rights granted by the specific listing's terms.
7. Intellectual Property Transfer
Upon a completed purchase, the seller grants the buyer the rights described in that specific listing (for example, full ownership transfer or a defined usage license, as stated on the listing). The seller represents and warrants they hold sufficient rights to grant what the listing promises. IdeaKoi is not liable for a seller's breach of this warranty, though such breaches are subject to the moderation and account-suspension provisions above.
8. Payments and Commission
All payments are processed via Stripe using Stripe Connect destination charges. IdeaKoi is the merchant of record for each transaction. At the moment of sale, IdeaKoi automatically deducts its platform commission (application_fee_amount) and routes the remaining proceeds to the seller's connected Stripe account as payout. Commission rates are as disclosed on the Platform's pricing page at the time of listing/sale.
9. Refunds and Disputes for Digital Goods
Because purchases deliver a digital asset file via a gated, time-limited download link rather than a physical product, there are no physical returns. Refund eligibility, if any, is evaluated case-by-case per the Platform's dispute-resolution process. Buyers and sellers acknowledge that Stripe-mediated payment disputes/chargebacks may be raised directly through the buyer's card issuer or Stripe, subject to Stripe's own dispute rules. IdeaKoi reserves the right to suspend a seller's payouts or account pending resolution of an active dispute.
10. Reviews
Buyers who have completed a purchase of a given idea listing may leave a rating and written review for that listing. Reviews must be honest and based on genuine purchase experience. IdeaKoi may remove reviews that violate content policy (for example, abusive, fraudulent, or unrelated to the purchase).
11. Account Suspension and Termination
IdeaKoi may suspend or terminate any account that violates these Terms, engages in fraud, or fails moderation/KYC requirements, with or without notice depending on severity.
12. Limitation of Liability
To the maximum extent permitted by law, IdeaKoi is not liable for indirect, incidental, or consequential damages arising from use of the Platform, the content of any idea listing, or any dispute between a buyer and seller. IdeaKoi's role is limited to operating the marketplace, processing payments via Stripe, gating asset delivery, and moderating listings.
13. Governing Law
These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to conflict-of-law principles.
14. Changes to These Terms
IdeaKoi may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance. Material changes will be reflected by updating the "Last updated" date on this page.
